1. Acceptance of these Terms
These Terms of Service ("Terms") are an agreement between you and AMS – Artificial Media System ("AMS", "we", "us", "our"), a service operated from Malaysia. They govern your access to and use of the AMS website, applications and related services (together, "the Service").
By creating an account, or by accessing or using the Service, you confirm that you have read and agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" includes that organisation. If you do not agree, you must not use the Service.
2. The Service
AMS is a social media management platform. It lets you connect your social media and messaging accounts; plan, create and schedule content; publish automatically; receive customer messages in a single inbox; and run an AI assistant that answers customers from a knowledge base that you provide.
The Service works with third-party platforms, including Facebook, Instagram, Threads, TikTok, YouTube, WhatsApp, Telegram and others we may add. AMS is not affiliated with, endorsed by or sponsored by any of these platforms.
3. Eligibility and your account
- You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract.
- You must give accurate and current information when you register, and keep it up to date.
- You must keep your password confidential and tell us promptly if you suspect unauthorised access. You are responsible for all activity under your account.
- An account is for one person. You may not share, sell or transfer it without our written consent.
- We may ask you to verify your e-mail address and may refuse or close accounts that we reasonably believe are fraudulent or abusive.
4. Campaigns, team members and roles
Work in AMS is organised into campaigns. The person who creates a campaign is its owner and is responsible for it. Owners can invite other people and decide what each role (for example admin, agent or viewer) may see and do.
- If you invite someone, you are responsible for choosing the right role and for their actions within your campaign.
- Content and customer conversations in a campaign belong to that campaign and are visible to members according to their role.
- Deleting your personal account does not delete a campaign you own; see section 15.
5. Acceptable use
You agree not to use the Service to:
- post, send or promote content that is unlawful, defamatory, harassing, obscene, hateful, deceptive, or that infringes anyone's rights;
- break the terms, policies or API conditions of any connected platform, including rules on spam, automation and unsolicited messages;
- send marketing or other messages to people who have not agreed to receive them where the law requires agreement;
- attempt to gain unauthorised access to the Service, other accounts or our systems, or interfere with their operation;
- scrape, reverse engineer or copy the Service, or use it to build a competing product;
- use the Service for fraud, phishing, malware or any other illegal or harmful activity;
- resell or make the Service available to third parties on a commercial basis without our written agreement.
We may remove content, limit features or suspend access if we reasonably believe these rules have been broken.
6. Third-party platforms
The Service depends on interfaces (APIs) and developer programmes run by third-party platforms. Their availability, features, limits and approval requirements can change or be withdrawn at any time, and we are not responsible for any interruption or change that results.
When you connect an account you authorise AMS to act on it as you direct, within the permissions you grant. You remain solely responsible for ensuring that what you publish and send complies with each platform's rules and with the law. You can disconnect an account in AMS at any time, and revoke access in the platform itself.
Some platforms limit when and how a business may message a customer (for example, replying only after the customer has written first, or within a time window). AMS follows these limits and may be unable to send a message that a platform does not allow.
7. AI features
AMS includes AI features such as content generation, image and video generation, and an automated customer-service assistant. You understand and agree that:
- AI output can be inaccurate, incomplete, out of date or unsuitable for your business. You must review content before you publish it.
- The assistant answers from the knowledge base you provide. You are responsible for the accuracy and legality of that material.
- You are responsible for messages sent to your customers by the assistant, including compliance with consumer-protection and data-protection laws, and for deciding when a person should take over a conversation.
- AI providers process the text and media you submit in order to produce results. See the Privacy Policy.
8. Your content and customer data
You keep all rights in the content you create or upload ("Your Content"). You give us a limited, non-exclusive licence to store, process, transmit and display Your Content only as needed to provide and secure the Service for you.
The Service may handle personal data of your customers, for example names and messages received through connected platforms. For that data, you decide why and how it is used and we process it on your behalf and on your instructions. You are responsible for having a lawful basis to collect and use it, and for giving your customers any notices the law requires.
9. Fees, membership and refunds
You can use AMS for free with one campaign. Membership unlocks every feature and is paid per campaign, monthly. The prices, the total and the period are shown before you pay, and service tax (SST) is added on top of the listed prices.
All the campaigns of an account renew together, on the day of the month you first paid. Membership does not renew by itself: we remind you before the end date and you renew it yourself. After the end date everything keeps working for a short grace period; after that the account returns to the free plan, one campaign keeps working and the others become read-only. Nothing is deleted.
A campaign added during a period is charged only for the days left until the next renewal date. A campaign you leave out when you renew becomes read-only when the paid period ends. Extra seats for a campaign are paid once and stay with that campaign.
Payments are not refunded, including for campaigns or seats you no longer use and for unused days, except where the law requires otherwise. Campaigns cannot be deleted by their owner; contact us if you need one removed. Third-party platforms and AI providers may apply their own charges or limits; where that affects you we will say so.
10. Intellectual property
The Service, including its software, design, logos and documentation, is owned by or licensed to AMS and protected by intellectual-property laws. Except for the rights expressly given in these Terms, we grant you no rights in it. If you send us feedback or suggestions we may use them without obligation to you.
11. Availability, changes and support
We work to keep the Service available but do not promise uninterrupted or error-free operation. We may change, add or remove features, and may carry out maintenance, with notice where practical. Support is available by e-mail (section 20).
12. Suspension and termination
You may stop using the Service and delete your account at any time (see section 15). We may suspend or end your access, in whole or in part, if you breach these Terms, if the law requires it, if you do not pay, or to protect the security of the Service or other users. Where reasonable we will tell you why. Sections that by their nature should continue after termination (including 8, 10, 14 to 17) will continue.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE GIVE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT ANY THIRD-PARTY PLATFORM WILL REMAIN AVAILABLE TO US.
14. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, AMS AND ITS AFFILIATES, OFFICERS AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
Nothing in these Terms limits liability that cannot be limited by law.
15. Closing your account
You can delete your account in the app under Profile › Privacy & data. Deleting it removes your personal details and removes you from all campaigns. If you own a campaign you must delete it, or have ownership moved to someone else, first. Content stored inside a campaign remains with that campaign. More detail is on the account-deletion page and in the Privacy Policy.
16. Indemnification
You agree to defend and indemnify AMS and its officers, employees and agents against claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms, or your breach of any law or third party's rights.
17. Changes to these Terms
We may update these Terms. If a change is material we will tell you in the app (you may be asked to agree again before you continue) and by updating the date at the top of this page. If you do not agree to the new Terms you can stop using the Service and delete your account.
18. General
- Notices. We may send notices to the e-mail address on your account or show them in the app. You can write to us at the address below.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- Severability. If a part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, sale or reorganisation.
19. Governing law
These Terms are governed by the laws of Malaysia. Disputes will be subject to the exclusive jurisdiction of the courts of Malaysia, unless the law of your country gives you a right to bring a claim elsewhere.
